Terms and Condition

Lawyered, [Sproutech Solutions Private Limited] and their employees, agents and subsidiaries ("we") are providing [Lawyered.in] and related sites, newsletters, any applications developed to be used on Android / iOS / Windows and other services (the "Website") to users of the Website ("you") subject to these terms and conditions (the "Terms"). The lawyers we connect you with through the Platform Services will be referred to as “Participating Platform Lawyers” and the services we exclusively provide to you are referred to as “Platform Services”.

Lawyered does not provide any legal services and is not a law firm. We help you connect with Participating Platform Lawyers, but Lawyered does not give legal advice. We connect you with Participating Platform Lawyers, but Lawyered will never provide legal advice or any other legal analysis or assessment of your legal needs or requests.

No attorney-client relationship shall be created or deemed to be created between you and Lawyered.  All of your communications with Lawyered are protected by our privacy policy (“Privacy Policy”) as set out below; they are not attorney work-product and are not protected under any privilege (including attorney-client privilege).  Other than information you submit through the Website, Lawyered has no access to any communications between you and any Participating Platform Lawyer you choose through Platform Services, which communications may be protected by attorney-client privilege. Lawyered is not a lawyer referral service and we do not recommend any specific lawyer(s).

 

Lawyered is not a legal referral service. While we make reasonable efforts to select and vet the Participating Platform Lawyers, we do not recommend any specific lawyer or Participating Platform Lawyer for any specific legal request. You acknowledge and agree that Lawyered does not select, endorse or recommend any individual lawyer or Participating Platform Lawyer.

In accessing/using the Website you are deemed to have read and agreed to the Terms, and agreed to the Terms, wherever applicable. If you do not agree with the Terms please cease to use the Website.

General

  1. The services provided on and through the Website and content are provided “as is”, “as available” and without warranty of any kind, express or implied, including, but not limited to, the implied warranties of title, non-infringement, merchantability and fitness for a particular purpose, and any warranties implied by any course of performance or usage of trade, all of which are expressly disclaimed. We, and our directors, employees, agents, suppliers, partners and content providers do not warrant that: (i) the Platform Services will be secure or available at any particular time or location; (ii) any defects or errors will be corrected; (iii) any content available at or through the Platform Services is free of viruses or other harmful components; or (iv) the results of using the Platform Services will meet your requirements or achieve any particular results. Your use of the Website is solely at your own risk.
  2. You acknowledge that all new services or features launched by us in future will also be subject to these Terms.
  3. You acknowledge and agree that the Website is provided "as is" and that we can assume no responsibility for any failure to provide any Platform Services, including but not limited to storing or delivering any user communications or settings.
  4. We shall not be liable for any loss suffered by you through the use of the Website howsoever caused, including but not limited to loss caused through but not limited to our negligence, breach of contract, copyright infringement, breach of other intellectual property rights or defamation.
  5. We make no warranties and are not liable for any third party products, services, content or websites, even if these are linked to or featured on the Website.
  6. We do not purport to provide legal, professional or any other advice and you should always seek independent advice before acting on any information on the Website.
  7. We do not purport to decide on the legal fees to be charged by the Participating Platform Lawyers. You agree that the negotiation of price for desired Platform Services / legal services is to be negotiated solely between you and the Participating Platform Lawyers. You acknowledge that we are only a facilitating platform which can connect you to the Participating Platform Lawyers.
  8. We take reasonable care to ensure that information we provide is accurate, however we shall not be responsible for any loss suffered by you as a consequence of the actions you take or omit to take on the basis of any of the information we provide.
  9. We reserve the right to use, reproduce and modify all content submitted by you to the site, including but not limited to comments published by you on the site. We reserve to use our absolute discretion in exercising this right.
  10. We are not liable for content published on the Website by users of the Website. If you would like to alert us to content that you believe to be inappropriate, please contact us via the Website. We will deal with your request as soon as reasonably possible.

Acceptable use and your obligations

  1. You must not use the Website in any way that causes damage to the Website or in any unlawful, harmful, illegal or fraudulent manner.
  2. You agree not to interfere with legitimate use of the Website by other users and our services.
  3. You agree to indemnify us against all costs, claims, liabilities, demands or expenses incurred as a result of your use of this Website or any breach of these Terms by you.
  4. We reserve the right at our absolute discretion to: (i) restrict or block your access to the Website, (ii) delete, modify or limit your user account at any time, or (iii) terminate these Terms. Notwithstanding the above, all your obligations shall survive under these Terms.
  5. You will not publish or cause to be published any unlawful, defamatory, obscene, threatening, offensive, harmful or otherwise objectionable content on the Website.
  6. You confirm that you are allowed under law to publish all content, images or information that you submit to the Website.
  7. You confirm that you are of legal age to access the Website, access the Platform Services, request for a Participating Platform Lawyers and make payment for any Platform Services accessed by you.

Membership obligations

  1. When you join the Lawyered community / social network the details you enter on the registration form will be used by us to provide you with news and other information.
  2. You agree to provide your real name, last name and accurate and truthful personal information in your registration.
  3. You agree to keep your username (the "Username") and password safe from use by third parties and not to share your registration details with anyone else, unless if your Username is a bona fide account that represents a group or organisation in which case you may share the registration details with members of such group or organisation.
  4. You agree to indemnify us against any unauthorised use of your Username and password, howsoever caused.
  5. We reserve the right to modify the membership information you provide, as well as to delete, disable and/or restrict your account.

Basics of the Platform Services

In connection with using the Website to learn more about the Participating Platform Lawyers and schedule appointments with those Participating Platform Lawyers, you understand that:

  1. When registering for the Platform Services, you will provide to us your basic contact information (including but not limited to name, address, email address, phone number). Upon requesting legal advice, you will answer some short questions about the general topical category of your legal matter. You will also provide us with a brief description of the type of legal advice you are seeking.
  2. If we are able to provide you with the required services, we will give you a list, based solely on the information you provide us, of Participating Platform Lawyers, screened by us, who may be able to provide you with the legal advice (the "Legal Services") that you are seeking. You acknowledge that you are responsible for choosing your own lawyer, whether through Lawyered or elsewhere. If you hire any Participating Platform Lawyer who appears on a list sent to you by Lawyered within one (1) year of the date the list is sent, you must hire that lawyer through the Platform Services.
  3. In order to allow us to assist you most efficiently, you agree to respond to all inquiries from us promptly.
  4. We may not be able to provide the required services for every legal matter. We reserve the right, in our sole discretion, not to provide the required services for any specific legal matter.

Blogging

  1. For registered users we are providing an open web publishing / blogging services that allow you to post and publish blogs and articles on the Website ("Blogs"), subject to the Terms.
  2. You agree not to post any Blog that is: (i) advertising, (ii) advertorial, (iii) overt promotion of services or products, or (iv) that otherwise contravenes any of the Terms.
  3. You warrant and represent that you have the author's permission to publish a Blog under your Username and that you have the legal right to publish all images or other information that you upload on the Website.
  4. We have no responsibility or liability of any kind for the content of any Blogs that are not written by us. We do not exercise control over Blogs' contents and are acting as a mere electronic conduit, hosting service and passive publisher of the Blogs, subject to the Terms.
  5. We retain the right at our absolute discretion to delete or modify your Blog in order to comply with our legal duties, to improve the appearance, layout or integration of the Blog into the Website, or for any other reason.

Intellectual property

  1. You or the original authors, as applicable, retain all copyrights to and moral rights to be identified as the author of: (i) Blogs published under your Username, and/or (ii) images or other media published under your Username on your personal profile on the Website's social network.
  2. By publishing a Blog you grant us a royalty-free, non-exclusive, irrevocable and perpetual licence and right to republish, reproduce and edit your Blog or parts thereof worldwide and in any medium, notwithstanding any other clauses of the Terms. If you republish your Blogs elsewhere, please include a hyper-link back to Lawyered as the place of original publication.
  3. Subject to the above clauses (applying to Blog authors), you agree to waive all your copyrights and moral rights to be identified as the author to all content or information you submit to be published anywhere on the Website, including but not limited to the Website's forum, discussion boards and comments to articles or Blogs.
  4. All content that is contributed to Lawyered becomes our copyright but is made available under a Creative Commons Attribution-NonCommercial-ShareAlike 3.0 license.

User Content

All content submitted by users (collectively "User Content") is the sole responsibility of the person who originated such User Content. You represent that all User Content provided by you is accurate, complete, up-to-date, and in compliance with all applicable laws, rules and regulations. We may use and distribute your User Content solely to provide Platform Services on your behalf or as required to be produced before any authority or court of law.

Payments

 
  1. Any chargeable services accessed by you on the website will be marked as chargeable. You must pay for such services being referred to as the "Paid Services".
  2. Current Information Required: You must provide current, complete and accurate information for the payment account linked to your platform services account (your "billing account"). You must promptly update all information to keep your billing account current, complete and accurate (such as a change in billing address, credit card number, or credit card expiration date), and you must promptly notify us if your chosen payment provider (your "payment method)" is cancelled (e.g. for loss or theft) or if you become aware of a potential breach of security, such as the unauthorized disclosure or use of your user name or password.
  3. Changes to such information can be made through your account profile. If you fail to provide any of the foregoing information, you agree that we may continue charging you for any use of Paid Services under your billing account unless you have terminated your paid services.

Indemnification

You shall defend, indemnify, and hold harmless us, our affiliates and each of our and their respective employees, contractors, directors, suppliers and representatives from all liabilities, claims, and expenses, including reasonable attorneys’ fees, that arise from or relate to your use or misuse of, or access to, the Website, Legal Services, Content, or otherwise from your User Content, or violation of these Terms, provided that any indemnity in this clause with regard to Legal Services excludes any aspect of the Legal Services that Lawyered does not and cannot access, including but not limited to privileged communications between you and your Participating Platform Lawyer. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with us in asserting any available defenses.

Termination

  1. We may terminate your access to all or any part of the Website at any time, with or without cause, with or without notice, effective immediately, which may result in the forfeiture and destruction of all information associated with your Lawyered account.
  2. Any termination of your Platform Services has no effect on the provision of Legal Services between you and your Participating Platform Lawyer or the attorney-client relationship between you and your Participating Platform Lawyer. Further, such a termination would not affect your access to or ownership of any attorney-client communications between you and your Participating Platform Lawyer or documents created by your Participating Platform Lawyer.
  3. Any fees paid hereunder are non-refundable. You remain obligated to pay any fees accrued but not yet paid at the time of termination.
  4. All provisions of this Agreement which by their nature should survive termination will survive termination, including, without limitation, licenses of User Content, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Governing law

The Terms and the Website are governed by Indian law and you agree to submit to the jurisdiction of the courts in Delhi.

Variation

We reserve the right to amend or modify these Terms at any time without notice.

Entire Agreement and Severability

This Agreement is the entire agreement between you and us, including use of the Website, and supersede all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and us. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

Force Majeure

We shall not be liable for any failure to perform our obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation.

Assignment

These Terms are personal to you, and is not assignable, transferable or cannot be sub-licensed by you except with our prior written consent. We may assign, transfer or delegate any of our rights and obligations hereunder without your consent.

Agency 

No agency, partnership, joint venture, or employment relationship is created as a result of these Terms and neither party has any authority of any kind to bind the other in any respect.

Notices 

Unless otherwise specified in these Terms, all notices under these Terms will be in writing and will be deemed to have been duly given when received, if personally delivered or sent by certified or registered mail, return receipt requested; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; or the day after it is sent, if sent for next day delivery by recognized overnight delivery service. Electronic notices should be sent to info@lawyered.in.

No Waiver

Our failure to enforce any part of these Terms shall not constitute a waiver of our right to later enforce that or any other part of these Terms. Waiver of compliance in any particular instance does not mean that we will waive compliance in the future. In order for any waiver of compliance with these Terms to be binding, we must provide you with written notice of such waiver through one of our authorized representatives.

You acknowledge and agree that Lawyered does not select, endorse or recommend any individual lawyer or Participating Platform Lawyer. You acknowledge and agree that Lawyered does not decide the consideration/legal fees/charges that you pay to the Participating Platform Lawyers. You agree and acknowledge that the consideration/legal fees/charges to be paid to the Participating Platform Lawyers is a matter of negotiation between you and the Participating Platform Lawyers, and Lawyered does not have responsibility in reaching a consensus regarding the consideration/legal fees/charges.

Payment

Any chargeable services accessed by the Participating Platform Lawyer on the Website will be marked as chargeable. You must pay for such services being referred to as the "Paid Services".

Current Information Required: You must provide current, complete and accurate information for the payment account linked to your platform services account (your "billing account"). You must promptly update all information to keep your billing account current, complete and accurate (such as a change in billing address, credit card number, or credit card expiration date), and you must promptly notify us if your chosen payment provider (your "payment method)" is cancelled (e.g. for loss or theft) or if you become aware of a potential breach of security, such as the unauthorized disclosure or use of your user name or password.

Changes to such information can be made through your account profile. If you fail to provide any of the foregoing information, you agree that we may continue charging you for any use of Paid Services under your billing account unless you have terminated your paid services.

The Participating Platform Lawyer agrees that he/she shall pay an amount of INR 2,000 per month or an amount of Rs. 5,000 for a period of three months in order to subscribe to the services provided by Lawyered. The subscription period shall be either a minimum of three months, six months or twelve months.

The Participating Platform Lawyer agrees and acknowledges that the payment made to use the Platform Services will in no way be considered as advertisement for his/her legal services or solicitation of clients; and further agrees and acknowledges that the payment made for the Platform Services is solely for the purpose of access of the Website, use of Platform Services offered by Lawyered and client management.

Cancellation and Refund

Where the Participating Platform Lawyer has a subscription of (i) 3 months and cancels the subscription on or before completion of 28 days, he/she will be given a 50% refund of the amount paid to Lawyered, (ii) 6 months and cancels on or before completion of 60 days, he/she will be given a 50% refund of the amount paid to Lawyered or cancels on or after completion of 60 days, he/she shall be given a 20% refund of the amount paid to Lawyered, (iii) 12 months and cancels on or before completion of before 90 days, he/she will be given a 50% refund of the amount paid to Lawyered or cancels on or after completion of 90 days, he/she shall be given a 20% refund of the amount paid to Lawyered.

The refund request shall be processed by Lawyered within 15 days from the date of refund request made by the Participating Platform Lawyer.

Other than the circumstances detailed above, the Participating Platform Lawyer will be entitled to a refund at the discretion of Lawyered and only in unusual or force majeure conditions.
